By-Laws
The Epicurean Club has adopted the
following new By-Laws and Rules for the operation of and the maintenance of its
membership, as of March 1st, 2007. These by-laws apply to all existing
memberships as well as new member applications effective this day.

1.
The Club shall operate on an annual basis, accepting
members for social, business and combined membership status. Such membership
will be reflected in the following classifications. Silver
"Social", Platinum "Businss" and
Platinum Elite.
2.
Members are accepted only upon receipt by the Club of the annual dues and
a completed "valid" membership application. Platinum and Platinum
Elite Memberships are subject to the
acceptance "approval" by the club's membership committee and all
membership must receive a sponsorship by an existing Club member in good
standing.
3.
The Club shall develop ongoing benefits through its merchant, business
and corporate partners. The club's local membership committee "MasterMind
Group" shall have the
sole and exclusive right to assign all member benefit funds, as they deem
appropriate.
4.
Upon direction by the club's local Executive Director, the Club shall form a
membership committee consisting of no less than 5 members. This committee shall
serve as needed by the Club's ownership. Committee members are held harmless
and are indemnified from any and all liabilities of the Club and its ownership.
5.
Submission of an online or printed membership application shall serve as the individual member's
acceptance and understanding that the Club, its officers, directors and
committee members are not liable for Club debts or any liabilities whatsoever.
6.
All membership fees, once paid into the Club, are non-refundable and are
considered paid for value already received as a member for the first 30 days of
membership. The remaining 11 months of member standard benefits are provided to the
member at no cost to the member.
7.
Local Member benefits are arranged by the Club's ownership with merchants
located within 50 miles of each Club location. There is no guarantee that any individual benefit
will be available for the entire term of the member's membership. The Club
will make its best efforts to negotiate annual contracts with merchants in order
to provide excellent benefits each year.
National Member benefits are arranged by the Club's
Corporate Board of Directors and in some cases require small monthly member dues
to cover the administrative fees either paid to FarSuperior Concepts, LLC or a
third party benefit administrator. These benefits can be added to or reduced
with proper notice by the Club member and done so via online payment processing.
If the member's credit or debit card fails to charge for the monthly dues for
the elected benefit plan, the benefits may be discontinued with no additional
notice to the member.
8.
Members using the Club for wine purchases or other Club reservations are
required to provide a valid credit card and a backup credit card as means of
payment for all authorized charges. The
Club does maintain a merchant account and therefore any charges applied to
the member's credit card will be made directly by a Club authorized merchant
at the time the reservation or transaction occurs, or by the Club itself in
order to complete the transaction on a timely basis

Revocation of a membership can be made in the event the member, or a
guest of the member, acts in an improper manner at any of the Club sponsored
functions, dinners or events. Revocation
can also be made in the event the member has any outstanding indebtedness (30
days or more) to a Club Authorized Merchant.
Prior to revocation, written notice of the Club's intent to revoke the
member's membership shall be sent to the member's address on his/her
application. The member shall have five (5) business days to correct the issue
that created the cause for revocation, or the membership shall be revoked and
all member benefits shall be cancelled.
10.
Membership cards are the property of the Club and shall be returned to
the Club upon written demand. Upon
the expiration date of the membership card, the member shall cease to use the
card or represent himself/herself as a member of the Club.
11.
The By-Laws and Club Rules shall be posted at all times on the Club's
web site at www.TheEpicureanClub.com. All rules and By-Laws are subject to modification
by the Club's ownership without prior written notice to members.
12.
The Club's By-Laws and Club Rules are incorporated by reference into
the Member's Application. Submission of an application for membership, or
subsequent usage of the Club's benefits and card shall serve as the Member's
acceptance of the Club's By-Laws and Club Rules.
